1. Who we are and acceptance
These terms govern the use of Novaru, a service of Viralith Digital LLC (Wyoming, United States; D-U-N-S 14-017-2114) ("Viralith"). Contact: support@viralithdigital.com.
By creating an account, connecting a channel or using the Novaru dashboard, the business ("Client") accepts these terms, the Privacy Policy and the Data Processing Agreement (DPA). The person accepting on behalf of the Client represents that they are authorized to bind it.
Section 13 summarizes what applies to people who write to a business that uses Novaru.
2. What Novaru is
Novaru is an AI-powered assistant that, on the Client's behalf, handles the messages it receives on WhatsApp (WhatsApp Business Platform, Cloud API), Instagram (Instagram API with Instagram Login, direct messages and comments) and Messenger (Facebook Page). It can answer questions about the business, book, remind and cancel appointments, take orders, send authorized templates and campaigns, and hand conversations over to a person on the Client's team. It includes a web dashboard for the Client's team and, as an optional feature, voice handling.
Novaru is an assistant for business tasks (customer service, bookings, orders, information). It is not a general-purpose artificial intelligence assistant, and the Client may not configure it as one.
3. Where it is offered. Not offered in the United States
Novaru is offered to businesses established in Paraguay, Ecuador and other Latin American countries.
Novaru is not offered in the United States. We do not accept as Clients businesses established in the United States or accounts whose use is mainly directed at people in that country. The Client represents that it is not established in the United States. For this reason, connecting WhatsApp numbers with the +1 international prefix is rejected, which also excludes other countries that share that prefix (for example, Canada and several Caribbean countries). If we detect that an account breaches this condition, we may suspend and close it under section 10.
4. Account, team and security
- The Client must provide accurate information and keep it up to date.
- The Client is responsible for the team members it grants access to, their roles, and keeping their passwords confidential. It must notify us immediately if it suspects unauthorized access.
- To connect a channel, the Client authorizes Novaru, through Meta's official flow, to access its WhatsApp Business account, Instagram account or Facebook Page with the strictly necessary permissions. It may revoke that access at any time from the Novaru dashboard or from Meta's settings.
5. Compliance with Meta's policies
Use of WhatsApp, Instagram and Messenger is also subject to Meta's terms and policies, including the Meta Platform Terms, the Developer Policies, the WhatsApp Business Messaging Policy, the WhatsApp Commerce Policy and the WhatsApp Business Solution Terms. The Client undertakes to comply with them and, in particular, to:
- Obtain opt-in from each person before messaging them on its own initiative, separately for each type of message (for example, reminders and promotions) and for calls, keep proof of it, and immediately honor any opt-out request, whether made inside or outside WhatsApp. Novaru automatically processes the words BAJA and STOP while the assistant is handling the conversation and the service is active; when a team member is handling it, or the service is paused, the Client's team must record the opt-out or erasure from the dashboard. An opt-out can only be reversed by the person themselves.
- Use approved templates outside the 24-hour customer service window, and only for their intended purpose (for example, utility templates for reminders, not disguised promotions).
- Always offer a clear path to a human. Novaru introduces itself as a virtual assistant and hands over to a person when asked; the Client must have staff to handle those handovers within a reasonable time.
- Not request over messaging full payment card numbers, financial account numbers or ID documents, and not use the channels for telemedicine or to request or send health information where applicable law prohibits it.
- Not send spam, misleading or illegal content, or content about products and services prohibited by the WhatsApp Commerce Policy.
Message fees charged by Meta (for example, WhatsApp templates) are paid by the Client directly to Meta through its WhatsApp Business account, unless otherwise agreed in writing. Meta may limit, suspend or close an account at its own discretion; Viralith does not control those decisions.
6. Acceptable use
The Client may not use Novaru to:
- engage in illegal, fraudulent, harassing, discriminatory or surveillance activities;
- send unsolicited bulk messages or circumvent Novaru's or Meta's sending limits;
- impersonate another person or conceal that replies come from a virtual assistant;
- make decisions about credit, employment, housing, insurance or access to essential services based on conversation data;
- sell or transfer conversation data, or use it for targeted advertising;
- attack, overload, reverse engineer or attempt to access other Clients' data.
Novaru's technical safeguards (sending limits, blocks, privacy controls) are part of the service and the Client must not attempt to bypass them.
7. Personal data and data processing agreement
- With respect to data of people who write to the Client, the Client is the controller and Viralith is the processor. Both sign a Data Processing Agreement (DPA), mandatory to use the service with real data, which includes the list of sub-processors and the safeguards for international transfers. Viralith provides the DPA to the Client before the service processes real data; it can also be requested at support@viralithdigital.com.
- The Client is responsible for informing its contacts, having a legal basis to process their data (and explicit consent when processing health or other sensitive data), and publishing its own privacy policy.
- Viralith processes data only to provide the service, does not sell it, does not use it for advertising and does not use it to train artificial intelligence models, as set out in the Privacy Policy.
- People may request erasure of their data from the chat or by email, as described on the Data deletion page. The Client must cooperate to handle those requests within legal deadlines.
8. Artificial intelligence: scope and limits
- Automated replies may contain errors or omissions. The Client is responsible for the information it enters (prices, hours, services, FAQs, flows) and for reviewing it.
- Novaru does not provide medical, legal or financial services, does not diagnose and does not replace the professional. It is not an emergency service: in an emergency it tells the person to contact emergency services.
- Novaru is not a medical records system. Notes a healthcare Client enters in the dashboard are supporting notes; custody of the medical record required by law remains the Client's responsibility.
- If the Client enables an external language model provider, text is sent pseudonymized as described in the Privacy Policy. Pseudonymization reduces risk but does not eliminate it entirely.
9. Plans, pricing and payment
- The price, plan and inclusions (for example, voice minutes) are set out, with their currency and applicable taxes, in the proposal or invoice accepted by the Client.
- A trial period may be offered; when it ends, the service continues only if the Client subscribes to a plan.
- If a payment is not received on time, the assistant may switch to a limited mode (it greets and hands over to a person) until payment is made.
- Refund rules are those in the commercial proposal and those imposed by applicable consumer protection law.
10. Suspension and termination
- The Client may cancel at any time by writing to support@viralithdigital.com, or from the dashboard when available.
- Viralith may suspend the service, in whole or in part, if the Client breaches these terms or Meta's policies, if there is a risk to security or to other people, for non-payment, or if the Client is established in the United States. Except in urgent cases, we will give prior notice.
- On termination, the Client may request an export of its contacts within 30 days. After that period, we delete its data under the DPA, except what we must keep by law.
11. Intellectual property
Novaru, its software, brand and design belong to Viralith. The Client receives a non-exclusive, non-transferable license to use it for the term of the contract. Content and data entered by the Client remain the Client's.
12. Warranties and liability
We provide the service with professional diligence, but we do not guarantee that it will operate without interruptions or errors, especially when a failure depends on third parties (Meta, internet, hosting or AI providers). To the extent permitted by law, Viralith's total liability to the Client is limited to the amount paid by the Client in the 12 months before the event, and excludes lost profits and indirect damages. This limitation does not apply to willful misconduct, gross negligence or non-waivable rights granted by law to consumers and data subjects.
13. For people who write to a business that uses Novaru
- You are talking to a virtual assistant acting on behalf of the business. The business is responsible for the service, prices and offerings.
- You can ask to talk to a person at any time by writing «humano» or «quiero hablar con una persona» (the assistant currently operates in Spanish).
- You can stop receiving messages by writing BAJA or STOP, and request erasure of your data by writing «borra mis datos» (see Data deletion).
- Do not send card details, passwords or unnecessary health information by chat.
- Your rights are described in the Privacy Policy.
14. Governing law and disputes
These terms are governed by the law of the country where the Client is established, and disputes are submitted to the competent courts of that country. This does not limit any non-waivable rights granted by the consumer protection or data protection law of the Client's or the individual's country. Before bringing a claim, the parties will try to resolve it in good faith by writing to support@viralithdigital.com.
15. Changes to these terms
We may amend these terms. We will publish the new version on this page and notify Clients at least 30 days in advance if the change is significant. If the Client disagrees, it may cancel before the change takes effect. If there are differences between the Spanish and English versions, the Spanish version prevails.
